“Finova Terms and Conditions of Use”

“Please read these terms carefully before using fi-nova.com and the Finova platform.”

“1. Acceptance of the terms”

By accessing or using the fi-nova.com website and the Finova platform (collectively, the “Services”), you agree to be bound by these Terms and Conditions of Use (“Terms”), as well as by our Privacy Policy. If you use the Services on behalf of a company or organization, you represent and warrant that you have the authority to accept these Terms on its behalf. If you do not agree with any provision of these Terms, you must not use the Services.

“2. Services provided”

Finova is a financial and operational management platform designed to help companies and businesses organize their accounts, income, expenses, inventory, sales and financial projections, among other operational features. Without limitation, Finova may provide, among others: • Dashboards and visualization of financial metrics. • Recording of income, expenses and transfers between accounts. • Customer, product, purchase order and accounts receivable/payable management. • Inventory and warehouse management tools. • AI-assisted financial analysis features. • Additional features communicated on the website or within the product. Finova is currently in early access (beta). This means the service is under active development and may be subject to changes, interruptions or adjustments without prior notice. We reserve the right to modify, extend or reduce the functionalities of the Services at any time, without prejudice to rights acquired under active subscriptions.

“3. Acceptable use of the platform”

You agree to use Finova in a responsible manner and in accordance with applicable law. In particular, you agree NOT to: • Use the Services for illegal, fraudulent or otherwise unlawful activities, or in a way that infringes third-party rights. • Attempt to gain unauthorized access to systems, accounts or data belonging to other users. • Introduce malicious code, viruses, automated scripts or other elements that may damage or interfere with the operation of the platform. • Use the platform to store or transmit content that is defamatory, offensive, discriminatory or otherwise unlawful. • Reverse engineer, decompile or attempt to obtain the source code of underlying systems, except where permitted by law. • Use the service to record fictitious transactions, tax evasion or other activities that violate applicable financial and tax laws. Finova reserves the right to suspend or terminate access to the Services if misuse or a violation of these Terms is detected, without prejudice to any legal actions that may be available.

“4. Intellectual property”

All intellectual and industrial property rights over the Finova platform, the fi-nova.com website, its design, source code, trademarks, logos, user interfaces, graphics and other related content belong to Finova or its licensors and are protected by applicable laws. Unless expressly authorized in writing, you are not granted any rights over such elements other than those strictly necessary to access and use the Services in accordance with these Terms. You are prohibited from: • Reproducing, distributing, modifying, creating derivative works, publicly displaying or otherwise exploiting the contents of the platform, except in cases permitted by applicable law. • Using Finova trademarks, trade names or logos without prior written authorization. The data and content you upload to the platform remain your property. By using Finova, you grant us a limited license to process such data solely for the purpose of providing the Services, in accordance with our Privacy Policy.

“5. Limitation of liability and nature of the service”

Finova provides the Services “as is” and “as available”, without warranties of any kind, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose or non-infringement. The service is currently in beta. Although it is available to businesses that have contracted a subscription, it may exhibit unexpected behavior, feature changes or maintenance periods. We make our best effort to ensure service continuity, but cannot commit to uninterrupted availability. To the fullest extent permitted by applicable law, Finova shall not be liable for: • Loss of profits, revenue, data or financial information arising from the use of, or inability to use, the Services. • Interruptions, errors, connection failures, delays or technical issues beyond our reasonable control. • Any indirect, incidental, special or consequential damages related to the use of the platform. • Financial or business decisions made based on information recorded or generated by the platform. Nothing in these Terms excludes or limits our liability where such limitation is not permitted under applicable law.

“6. Privacy and data protection”

The processing of your personal data is governed by our Privacy Policy, available at fi-nova.com/privacy (or at the updated URL indicated on the website). By using the Services, you acknowledge that you have read and understood our Privacy Policy and accept the way in which Finova collects, uses and protects your personal data, in accordance with the applicable regulations.

“7. Subscription and payments”

Access to Finova requires an active subscription, except where a free trial or free access to specific features is offered, as indicated on the website. 7.1. Plans and pricing Finova offers different subscription plans with varying levels of functionality. The basic plan starts at MXN $580 per month (plus applicable taxes). Prices for other plans are published at fi-nova.com and may be updated with at least 30 days' prior notice to active subscribers. 7.2. Billing and payment Charges are made on a monthly or annual basis, depending on the billing cycle selected at the time of sign-up. Payments are processed through a third-party payment gateway. Finova does not directly store credit or debit card data; such processing is carried out exclusively by the payment provider. 7.3. Automatic renewal Subscriptions renew automatically at the end of each billing period, unless the user cancels before the renewal date. Cancellation can be done from within the platform or by contacting our team. 7.4. Taxes Published prices do not include taxes. Applicable VAT or other taxes will be calculated and displayed at the time of payment, in accordance with applicable Mexican law.

“8. Cancellation and refund policy”

8.1. Cancellation You may cancel your subscription at any time from your account settings or by contacting the Finova team. Cancellation takes effect at the end of the current billing period; no immediate cancellations will be processed with a prorated refund for unused time, except in the cases described below. 8.2. Refunds Finova does not offer refunds for periods already billed, except in the following cases: • A technical issue directly attributable to Finova that significantly prevented access to the service for an extended period, at Finova's discretion. • A verifiable duplicate or erroneous charge, in which case the corresponding amount will be refunded. If you believe you are entitled to a refund under the above, please contact us at fabian@zensavvy.com within 15 calendar days of the charge in question. 8.3. Free trial If Finova offers a free trial period, access to features during that period is subject to these Terms. Upon completion of the trial, an active subscription will be required to continue using the service.

“9. Changes to these terms”

We may update or amend these Terms at any time to reflect changes in the Services, in applicable regulations or in our internal practices. When we make material changes, we will make reasonable efforts to notify you through the website, within the product or by other suitable means (for example, email if you have an active subscription). The current version of the Terms will always be available at fi-nova.com. Your continued use of the Services after the effective date of the changes will constitute acceptance of the updated Terms.

“10. Governing law and jurisdiction”

These Terms shall be governed by and construed in accordance with the laws of the United Mexican States. In the absence of an express indication in a specific agreement, Mexican federal law shall apply, and where applicable, the laws of the state where Finova has its main place of business. In the event of any dispute, the parties agree to first seek an amicable resolution by contacting the Finova team at fabian@zensavvy.com. If a friendly resolution is not possible, and unless otherwise required by law, the parties submit to the jurisdiction of the competent courts of the Mexican Republic, waiving any other forum that may apply by virtue of their present or future domiciles.
